By creating an account or using our platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use our services.
1. Eligibility & Account Registration
To use Prep Pairing, you must:
- Be at least 18 years old, or at least 13 years old with verifiable parental or legal guardian consent where applicable law permits;
- Have the legal capacity to enter into a binding contract;
- Not be prohibited from using the service under any applicable law.
By creating an account, you represent and warrant that all information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use.
You may not create an account on behalf of another person or entity without their explicit authorization. We reserve the right to refuse registration or cancel accounts at our sole discretion.
2. The Service
Prep Pairing is a peer-to-peer study partner matching platform. We provide tools to help users find and connect with other individuals preparing for the same or similar exams. We do not provide academic tutoring, test preparation services, or educational instruction of any kind.
We reserve the right to modify, suspend, or discontinue any aspect of the service at any time without notice or liability to you. We may also impose limits on certain features or restrict access to parts of the service without notice.
Prep Pairing is a neutral platform. We facilitate connections between users but are not a party to any arrangements, agreements, or interactions between users. We do not endorse, verify, or guarantee any user, their identity, qualifications, or intentions.
3. User Conduct & Community Standards
You agree not to use Prep Pairing to:
- Harass, stalk, intimidate, threaten, or harm any person;
- Post or transmit content that is illegal, obscene, defamatory, fraudulent, or otherwise objectionable;
- Impersonate any person or entity, or misrepresent your identity, qualifications, or affiliation;
- Solicit money, financial information, or other valuables from other users;
- Promote or advertise third-party services without our prior written consent;
- Engage in any form of academic dishonesty, including facilitating cheating or plagiarism;
- Transmit any malware, viruses, or harmful code;
- Scrape, crawl, or extract data from the platform without our written consent;
- Circumvent any access controls, security measures, or technical protections;
- Use the platform for any unlawful purpose or in violation of any applicable law or regulation.
Violations may result in immediate account suspension or permanent termination, at our sole discretion, with or without notice.
4. User-Generated Content
Your Content
You retain ownership of any content you submit, post, or transmit through the service ("User Content"), including profile information, messages, and photos. By submitting User Content, you grant Prep Pairing a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display such content solely for the purpose of operating and improving the service.
Content Standards
You are solely responsible for your User Content. You represent and warrant that:
- You own or have the necessary rights to submit the content;
- The content does not violate any third-party rights, including intellectual property or privacy rights;
- The content complies with these Terms and all applicable laws.
No Monitoring Obligation
We do not pre-screen User Content and are under no obligation to do so. However, we reserve the right (but not the obligation) to review, edit, or remove any User Content at our sole discretion and without notice.
We are not liable for any User Content. Any reliance you place on information shared by other users is strictly at your own risk.
5. Safety & No Guarantees
Meeting people online carries inherent risks. By using Prep Pairing, you acknowledge and accept these risks. We strongly encourage you to:
- Meet study partners in public places initially;
- Never share financial information, home addresses, or sensitive personal data with other users;
- Trust your instincts and report any concerning behavior to us immediately;
- Conduct your own due diligence before meeting anyone in person.
We do not conduct criminal background checks on users. We make no representations or warranties about the character, identity, intentions, or trustworthiness of any user. You are solely responsible for your interactions with other users.
Prep Pairing expressly disclaims all liability for any harm, loss, injury, or damage — physical, emotional, financial, or otherwise — arising from your interactions with other users, whether online or in person.
6. Intellectual Property
All content, features, and functionality on Prep Pairing — including but not limited to text, graphics, logos, icons, and software — are the exclusive property of Prep Pairing or its licensors and are protected by applicable intellectual property laws.
You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the service without our express prior written consent.
The Prep Pairing name, logo, and all related marks are trademarks of Prep Pairing. Nothing in these Terms grants you any right to use our trademarks.
7. Privacy
Your privacy matters to us. Our Privacy Policy explains how we collect, use, and protect your personal information and is incorporated into these Terms by reference. By using Prep Pairing, you agree to the collection and use of your information as described in our Privacy Policy.
8. Disclaimers & No Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PREP PAIRING IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT;
- WARRANTIES THAT DEFECTS WILL BE CORRECTED.
We do not warrant that the service is free of viruses or other harmful components. We are not responsible for the conduct of any user, whether online or offline.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PREP PAIRING, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
- DAMAGES RESULTING FROM: (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY USER OR THIRD PARTY; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE;
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless Prep Pairing and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms;
- Your User Content;
- Your use of the service;
- Your interactions with any other user;
- Your violation of any applicable law or third-party rights.
11. Termination
We may suspend or terminate your account and access to the service at any time, for any reason or no reason, with or without notice, including for violations of these Terms. Upon termination, your right to use the service ceases immediately.
You may delete your account at any time by contacting us at [email protected]. Deletion removes your profile from the platform; certain data may be retained as required by law or for legitimate business purposes as described in our Privacy Policy.
Provisions that by their nature should survive termination will survive, including Sections 4, 8, 9, 10, and 12.
12. Dispute Resolution & Governing Law
Governing Law
These Terms and any dispute arising out of or related to them or the service shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
Informal Resolution
Before filing any formal legal action, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will try to resolve the dispute within 30 days. If we cannot reach a resolution, either party may pursue formal remedies.
Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST PREP PAIRING.
Jurisdiction
For any disputes not subject to arbitration or informal resolution, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in New Jersey, and waive any objection to such jurisdiction or venue.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting an updated version on this page with a revised "Last Updated" date. Your continued use of the service after any changes constitutes your acceptance of the new Terms.
We encourage you to review these Terms periodically. If you do not agree to the revised Terms, you must stop using the service.
